1. Acceptance of Terms

By creating an account, accessing, or using Chance AI (the “Platform”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not use the Platform.

These terms constitute a legally binding agreement between you and Chance Africa Ltd (“we”, “us”, or “our”).

2. Description of Service

Chance AI is an opportunity marketplace that aggregates and presents opportunities across Africa, including:

• Job opportunities
• Tenders and procurement opportunities
• Scholarships and educational programs
• Grants and funding opportunities
• Other career and business development opportunities

The Platform uses AI technology to collect, process, and present opportunities from various sources. While we strive for accuracy, we do not guarantee the completeness or accuracy of all information.

3. User Account and Responsibilities

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Ensure you are at least 18 years old or have parental/guardian consent

4. Prohibited Activities

When using the Platform, you agree not to:

• Post false, misleading, or fraudulent information
• Violate any applicable laws, regulations, or third-party rights
• Engage in any activity that disrupts, interferes with, or harms the Platform or its infrastructure
• Use the Platform for any illegal, harmful, or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems (bots, scrapers) without our prior written consent
• Reproduce, duplicate, copy, or resell any part of the Platform
• Harass, abuse, or harm other users
• Transmit viruses, malware, or other malicious code
• Collect or harvest personal information of other users

5. Intellectual Property

All content on Chance AI, including but not limited to text, graphics, logos, images, software, data compilations, and the Platform’s “look and feel”, is the property of Chance Africa Ltd or its content suppliers and is protected by South African and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. This license does not include any right to:

• Modify or copy the materials
• Use the materials for commercial purposes or public display
• Remove any copyright or proprietary notations
• Transfer the materials to another person or entity

6. Third-Party Opportunities

Opportunities listed on the Platform are posted by third parties. We do not:

• Guarantee the accuracy, completeness, or availability of any opportunity
• Endorse or recommend any specific opportunity or organization
• Take responsibility for the actions or omissions of third-party organizations
• Act as an agent, representative, or intermediary between you and opportunity providers

You are solely responsible for verifying the legitimacy of opportunities and conducting your own due diligence before applying or engaging with any opportunity provider.

7. Limitation of Liability

To the fullest extent permitted by law, Chance Africa Ltd shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages arising from your use of or inability to use the Platform
• Damages resulting from any opportunities accessed through the Platform
• Damages caused by errors, omissions, interruptions, or delays in service

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

8. Indemnification

You agree to indemnify, defend, and hold harmless Chance Africa Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms of Use
• Your violation of any third-party rights
• Any content you submit or transmit through the Platform

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

We comply with the Protection of Personal Information Act (POPIA) and other applicable data protection laws.

10. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including:

• Violation of these Terms of Use
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At your request

Upon termination, your right to use the Platform will immediately cease. Termination does not relieve you of any obligations incurred prior to termination.

11. Changes to Terms

We reserve the right to modify these Terms of Use at any time. Material changes will be communicated through the Platform or via email. Changes become effective immediately upon posting.

Your continued use of the Platform after changes are posted constitutes your acceptance of the revised terms. If you do not agree to the changes, you must stop using the Platform.

12. Governing Law and Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws of South Africa. Any disputes arising from or relating to these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of South Africa.

13. Severability

If any provision of these Terms of Use is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
